Position summary

LSO Media Group is seeking a Corporate Counsel to support the legal work behind its consolidated portfolio of media, entertainment, and nonmedia businesses. This full-time position reports to the Chief Legal Officer and works with corporate and operating company leaders on governance, transactions, entity management, and day-to-day business questions. The role requires an attorney who can identify the relevant facts, explain the available options, and help colleagues act on clear, practical advice.

You will support acquisitions and other strategic transactions from initial diligence through closing and integration, maintain sound corporate decision-making processes, and coordinate specialist advice when a matter calls for it. You will also help the company distinguish matters that can follow an established process from those that require escalation. Success depends on careful legal judgment, reliable execution, and an understanding of how decisions affect businesses with different commercial models.

Responsibilities

  • Advise the Chief Legal Officer and business stakeholders on corporate governance, delegations of authority, approvals, and the documentation required for material decisions.
  • Prepare and review board and shareholder materials, written consents, resolutions, and related records, coordinating their completion and retention through established processes.
  • Support acquisitions, investments, dispositions, and restructurings through legal diligence, transaction document review, issue tracking, closing preparation, and post-closing follow-through.
  • Coordinate entity formation, maintenance, ownership records, and corporate filings with internal colleagues, outside counsel, and service providers as appropriate.
  • Review corporate agreements and advise on contractual obligations, allocation of risk, termination rights, and approval requirements before commitments are made.
  • Help operating companies implement corporate policies and escalation procedures that reflect the needs of their businesses and the wider portfolio.
  • Coordinate employment-related legal questions with the Chief Legal Officer and qualified specialist counsel, including policy review, workplace matters, and transaction-related workforce issues.
  • Organize the response to disputes, claims, and legal inquiries, preserving relevant information and supporting outside counsel under the Chief Legal Officer's direction.
  • Develop usable templates, checklists, and brief guidance that improve the consistency of recurring corporate work and reduce avoidable delays.
  • Communicate open issues, recommended actions, deadlines, and external counsel needs in language that enables informed decisions by nonlegal colleagues.

Required qualifications

  • Juris Doctor or equivalent law degree, active membership in good standing in a U.S. state bar, and the ability to satisfy applicable in-house counsel authorization requirements.
  • At least five years of relevant legal experience involving corporate law, governance, and business transactions in a law firm, an in-house legal department, or both.
  • Experience reviewing transaction documents and conducting or coordinating legal diligence with disciplined attention to unresolved issues and closing requirements.
  • Strong drafting, research, negotiation, and analytical skills, with the judgment to identify when specialist advice or a higher-level decision is needed.
  • Ability to manage competing priorities, protect confidential information, and maintain accurate records across multiple matters and business stakeholders.
  • Clear written and verbal communication, including the ability to explain a legal recommendation and its business implications without unnecessary jargon.

Preferred qualifications

  • Experience supporting a parent company, holding company, or group of businesses operating across more than one industry.
  • Experience with acquisition integration, minority investments, ownership structures, or the administration of multiple legal entities.
  • Familiarity with legal issues affecting media, entertainment, hospitality, consumer services, or procurement businesses.

Measures of success

  • Corporate decisions have clear approval records, responsible owners, and complete supporting documentation.
  • Transaction teams receive timely advice, with material diligence findings tracked through resolution or an informed decision.
  • Business colleagues understand when to seek legal review and can use established processes for recurring work.
  • The Chief Legal Officer has a dependable view of open matters, approaching deadlines, and issues requiring escalation.

First 90 days

During your first 90 days, you will learn the portfolio's ownership structure, approval practices, and current legal priorities; review the status of key entity and governance records; and establish working relationships with relevant business stakeholders and outside counsel. With the Chief Legal Officer, you will agree on a practical matter list and identify the first templates, recordkeeping improvements, or transaction support processes to address.

Compensation

Proposed annual base salary of $135,000–$175,000 USD. The final offer will reflect relevant experience, qualifications and the agreed scope of the position, subject to approval. This range covers base pay only; any incentive compensation or benefits would be specified separately in an employment offer.
