Position summary
LSO Media Group is seeking a Commercial & Intellectual Property Counsel to support the agreements and rights that connect its businesses with customers, partners, creators, and service providers. This full-time position reports to the Chief Legal Officer and combines commercial contract work with intellectual property and content rights advice. You will translate business proposals into clear terms and help teams understand the rights they need, the obligations they are accepting, and the approvals required to move forward.
The role supports media and entertainment activities alongside commercial work across the wider portfolio. You will review production, licensing, distribution, advertising, and other business agreements, while developing consistent ways to document ownership, permissions, and restrictions. You will provide legal guidance on content clearances and rights questions in partnership with the responsible business teams. Programming and editorial decisions remain with the teams accountable for those functions.
Responsibilities
- Draft, review, and negotiate commercial agreements, including customer, vendor, services, confidentiality, advertising, sponsorship, and partnership contracts.
- Advise on content licensing and distribution terms, including permitted uses, territories, platforms, exclusivity, license periods, sublicensing, and termination provisions.
- Review production and creative services agreements, addressing deliverables, ownership, commissioned work, usage permissions, approvals, payment terms, and practical remedies.
- Help business teams establish and document the chain of title for content and other intellectual property, identifying gaps that require additional information or agreements.
- Provide legal review of relevant clearances and releases, including music, footage, images, trademarks, and participant permissions within the scope of each project.
- Support the protection and administration of trademarks, copyrights, and other intellectual property in coordination with the Chief Legal Officer and specialist counsel.
- Assess proposed brand uses and commercial arrangements for intellectual property concerns, contractual conflicts, and restrictions imposed by existing agreements.
- Build and maintain contract templates, negotiation guidance, and approval checklists that reflect recurring needs across the portfolio.
- Coordinate with business owners to record renewal dates, rights limitations, delivery requirements, and other obligations that continue after an agreement is signed.
- Support the response to contractual disputes, infringement allegations, and rights inquiries, gathering relevant records and recommending an appropriate course of action.
Required qualifications
- Juris Doctor or equivalent law degree, active membership in good standing in a U.S. state bar, and the ability to satisfy applicable in-house counsel authorization requirements.
- At least four years of relevant legal experience in commercial contracting and intellectual property matters in a law firm, an in-house legal department, or both.
- Demonstrated ability to draft and negotiate agreements and to explain how proposed terms affect business operations, ownership, and ongoing obligations.
- Working knowledge of copyright, trademark, licensing, and content rights issues, including the documentation used to establish ownership and permissions.
- Ability to review incomplete or evolving business proposals, identify the information needed, and provide proportionate recommendations under time constraints.
- Strong organizational skills, discretion with sensitive information, and effective communication with legal, commercial, and creative colleagues.
Preferred qualifications
- Experience with television, film, streaming, digital publishing, branded content, or related entertainment transactions.
- Experience supporting trademark portfolios, rights databases, contract management systems, or repeatable content clearance processes.
- Experience negotiating agreements that involve multiple territories, distribution platforms, or overlapping rights holders.
Measures of success
- Executed agreements reflect the approved commercial arrangement and clearly identify material rights and obligations.
- Content and brand teams can locate reliable ownership, permission, and usage restriction records for the work they manage.
- Contract reviews progress with clear next steps, proportionate escalation, and fewer avoidable revisions.
- Business owners understand the actions required after signature, including renewals, approvals, reporting, and rights restrictions.
First 90 days
During your first 90 days, you will review the principal contract categories, current rights records, and the priorities of the teams you support. Working with the Chief Legal Officer, you will identify recurring negotiation issues and immediate rights documentation gaps, establish a clear intake and review process, and select the first templates or guidance materials to improve. You will also begin building a consistent method for recording material obligations after agreements are signed.
Compensation
Proposed annual base salary of $125,000–$165,000 USD. The final offer will reflect relevant experience, qualifications and the agreed scope of the position, subject to approval. This range covers base pay only; any incentive compensation or benefits would be specified separately in an employment offer.
